About Coinbase Global, Inc.

About Coinbase Global, Inc.

Coinbase Global operates four crypto exchanges — Coinbase Exchange, Coinbase International Exchange, Coinbase Derivatives Exchange, and Deribit — subject to NYDFS oversight and state money transmitter licenses across the U.S. Bitcoin and Ethereum drove approximately 45% of total trading volume in 2025; consumer-staked assets totaled $7.5 billion and institutional staked assets through Coinbase Prime exceeded $15.2 billion as of December 31, 2025. Subscription and services revenue from stablecoin yield-sharing under the Circle Agreement has grown to represent a more meaningful portion of total net revenue.

Coinbase earns consumer revenue through volume-based transaction fees and spreads on Simple and Advanced trading experiences, with Simple trading fees generally higher than Advanced trading fees. The company expanded its consumer product suite in December 2025 to include stocks, commodity futures, perpetual futures, and prediction markets under its 'Everything Exchange' vision. Institutional revenue flows through Coinbase Prime — prime brokerage, custody, and market infrastructure — at volume-based rates. Stablecoin revenue is earned under the Circle Agreement, through which Coinbase receives a share of economics from USDC reserves proportional to the amount of USDC in circulation on and off the platform; USDC reserves are invested in interest-bearing instruments, making this revenue stream sensitive to Federal Reserve rate decisions. The company also earns sequencer fees on Base, its L2 Ethereum blockchain. Custody fees are charged to institutions based on assets under custody, with Coinbase serving as custodian for several Bitcoin and Ethereum ETF issuers.

Coinbase's stablecoin revenue depends structurally on Circle Internet Financial, LLC, the issuer of USDC. The 10-K discloses that if Circle fails to provide operational services, customer experience for USDC could be impaired; if the parties fail to agree on a potential restructuring, Coinbase could require assignment of certain USDC trademarks. In May 2026, the company disclosed via Form 8-K a restructuring plan reducing its workforce by approximately 700 employees — roughly 14% of global headcount as of May 1, 2026 — with estimated total charges of $50 million to $60 million, substantially all cash-based severance, expected to be recognized in Q2 2026.
