About Wayfair Inc.

About Wayfair Inc.

Wayfair's U.S. e-commerce segment generated 88% of consolidated net revenue in 2025; Canada, the United Kingdom, and Ireland comprised the remainder after the company exited Germany in January 2025. The five branded storefronts — Wayfair, AllModern, Birch Lane, Joss & Main, and Perigold — served approximately 21 million active customers across over 40 million products from about 20,000 suppliers, with physical retail expanded to 12 stores in 4 states by December 31, 2025.

Wayfair earns revenue from product sales on its marketplace platform, with the majority of orders fulfilled via direct supplier drop-ship. Small parcel delivery depends primarily on FedEx; large parcel items flow through third-party line haul carriers and the company's Wayfair Delivery Network, which includes consolidation centers, cross docks, and last-mile delivery facilities. CastleGate warehouses allow suppliers to forward-position inventory, enabling two-day delivery to a majority of the U.S. population for qualifying items. The company employs approximately 12,800 people with no unionized workforce. A substantial portion of products are manufactured in China, exposing Wayfair to tariff risk; the U.S. has imposed additional tariffs on furniture, home goods, and related components imported from China — including the elimination of the prior de minimis exemption for small-value shipments — with China and Canada responding with retaliatory tariffs.

Home goods purchases are sensitive to real estate market conditions, consumer confidence, and interest rates. The 10-K notes consumers may view a substantial portion of offered products as discretionary, and that declines in consumer spending have in the past reduced demand. Stacked tariffs on Chinese imports have raised effective tariff rates on home-goods categories such as wooden upholstered seating, cabinets, and vanities, and there is no assurance Wayfair can fully offset cost increases through supply chain adjustments or by securing new suppliers outside of China. Canada and China have enacted retaliatory tariffs that may further disrupt pricing and sourcing economics.
